Textile Design License Agreement
This Textile Design License Agreement ("Agreement") is entered into between FantasyFair Emporium, hereinafter referred to as the "Licensor," and the individual or entity purchasing the digital textile design, hereinafter referred to as the "Licensee."
1. Grant of License
Licensor grants Licensee a non-exclusive, worldwide, royalty-free license to use the digital textile design ("Design") for personal and commercial purposes, subject to the terms and conditions outlined in this Agreement.
2. Permitted Usage
2.1 Personal Use: Licensee is authorized to use the Design for personal projects without limitation.
2.2 Commercial Use: Licensee is authorized to use the Design for commercial purposes, including but not limited to incorporating the Design into physical or digital products for resale, such as clothing, accessories, home décor, and more.
3. Restrictions
3.1 Prohibition of Resale: Licensee may not resell, sublicense, distribute, or make available the Design as standalone downloadable files, individually, or as a part of a collection, whether digitally or physically, in its original form.
3.2 You May Not Re-sale as Incomplete Projects or Project Kits: Licensee may not sell the Design as an incomplete project, or inside a project kit, which leaves the textiles in their original design in the original format of PNG and/or all other digital and physical formats. Example: Licensee may not sell the Design printed on fabric squares or paper squares without substantial modifications.
4. Ownership and Copyright
4.1 Ownership: Licensor retains all rights, title, and interest in and to the Design, including all intellectual property rights.
4.2 No Transfer: This Agreement does not transfer any ownership rights to Licensee. Licensee is granted a license to use the Design according to the terms herein.
5. Attribution
5.1 Not Required: Licensee is not required to provide attribution when using the Design, but it is appreciated.
6. Warranty and Liability
6.1 Warranty: The Design is provided "as is," without warranty of any kind, including but not limited to fitness for a particular purpose or non-infringement.
6.2 Limitation of Liability: Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the Design.
7. Termination
7.1 Termination: Licensor reserves the right to terminate this license if Licensee breaches any of the terms outlined in this Agreement.
8. Governing Law
8.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the United States and all countries outside of the United States.
9. Entire Agreement
9.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
By purchasing and using the Design, Licensee acknowledges and agrees to abide by the terms and conditions set forth in this Agreement.

Date of Agreement starts on purchase date and has no end.
